STANDARD TERMS AND CONDITIONS OF SALE
1. Definitions
In these Terms and Conditions:
"Seller" refers to AD CTS India Pvt Ltd.
"Buyer" refers to the purchaser of goods or services.
"Goods" refers to the products or services provided by the Seller.
2. General
These terms and conditions apply to all sales of goods and services by the Seller unless otherwise agreed in writing. Any variation of these terms must be agreed in writing by both parties.
3. Orders
All orders must be submitted in writing and are subject to acceptance by the Seller. The Seller reserves the right to reject any order without providing reasons. Orders once accepted by the Seller cannot be canceled or modified unless the Seller agrees in writing.
4. Pricing
All prices quoted are in INR unless otherwise stated and are exclusive of applicable taxes, duties, and delivery charges. The prices are valid for 30 days from the date of quotation unless otherwise agreed upon. The Seller reserves the right to adjust prices due to changes in raw material costs, currency fluctuations, or other unforeseen factors.
5. Payment Terms
The Seller reserves the right to charge interest on overdue payments at a rate of 3% per month.
All payments must be made in full, without any deduction or set-off.
Title to the goods shall pass to the Buyer only upon full payment of the price.
6. Delivery
Delivery dates are estimates only, and the Seller shall not be liable for any delays in delivery.
The risk of damage or loss of goods passes to the Buyer upon delivery.
The Buyer is responsible for any additional delivery charges incurred due to unforeseen circumstances or the Buyer's failure to take delivery.
7. Warranty
The Seller warrants that the goods supplied will be free from defects in material and workmanship for a period of 12 months from the date of delivery. If the Buyer believes the goods are defective, the Seller must be notified in writing within 7 days of discovery.
8. Limitation of Liability
The Seller’s liability is limited to the repair or replacement of defective goods. In no event shall the Seller be liable for any indirect, incidental, or consequential damages arising from the supply or use of the goods.
9. Returns
Goods may not be returned without the prior written consent of the Seller. Returned goods must be in original packaging and condition, and the Buyer will bear the cost of return shipping unless the return is due to defective goods.
10. Force Majeure
The Seller shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, floods, pandemics, and transportation delays.
11. Confidentiality
Both parties agree to treat all commercial and technical information exchanged as confidential and not to disclose such information to any third party without prior consent.
12. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the jurisdiction of the courts of Bangalore.
13. Dispute Resolution
In case of any disputes arising out of or in connection with this agreement, both parties agree to attempt to resolve the matter amicably. If the matter cannot be resolved, it will be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act.
14. Entire Agreement
These terms and conditions, along with any written quotations or agreements between the parties, constitute the entire agreement between the Seller and Buyer and supersede all prior communications or agreements.
